1. Acceptance of Terms

By creating an account, accessing, or using PuenteLex in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

PuenteLex is an AI-assisted translation tool designed to help qualified translators produce translations of legal, academic, government, and personal documents from Spanish to English. PuenteLex is not a translation service and does not itself provide translations, certifications, or legal advice.

The Service uses artificial intelligence to generate draft translations that must be reviewed, edited, verified, and certified by a qualified human translator. PuenteLex facilitates the production of certified translations accepted for official submissions, but the human user — not PuenteLex — is the translator and certifier of record.

PuenteLex does not provide legal advice, legal counsel, or representation of any kind. Users should consult qualified legal professionals for legal, immigration, or regulatory matters.

3. User Responsibilities

As a user of PuenteLex, you acknowledge and agree that:

• You are the certifying translator. When you certify a translation produced using PuenteLex, you attest that you are competent to translate from the source language into English and that you have reviewed and verified the translation to be complete and accurate.
• The certification statement — "I, [Name], certify that I am competent to translate from [language] into English, and that I have reviewed and verified this translation to be complete and accurate" — is made by you, not by PuenteLex.
• You are solely responsible for the accuracy, completeness, and quality of all translations you certify.
• You will review all AI-generated draft translations before certifying or submitting them for any purpose.
• You will not certify a translation you have not thoroughly reviewed and verified.
• You have the necessary language competency to translate from the source language into English.
• You are responsible for maintaining the confidentiality of your account credentials.
• You will comply with all applicable laws, regulations, and professional standards in your use of the Service.

4. AI Disclosure

PuenteLex uses artificial intelligence (specifically, third-party AI services) to generate draft translations of uploaded documents. You acknowledge and understand that:

• AI-generated translations are drafts only and may contain errors, omissions, inaccuracies, or mistranslations.
• AI-generated translations should never be used without human review and verification.
• The certifying user is solely responsible for reviewing, verifying, and certifying all translations.
• PuenteLex does not guarantee the accuracy, completeness, or fitness for any particular purpose of any AI-generated translation.
• The quality of AI-generated translations may vary depending on document quality, complexity, handwriting legibility, and other factors.

5. Account Registration

To use the Service, you must create an account through our authentication provider, Clerk. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

6. Subscription and Payment

PuenteLex offers subscription-based access to the Service. Payment is processed securely through Stripe. By subscribing, you agree to the following:

• Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date.
• You authorize us to charge your designated payment method for recurring subscription fees.
• Subscription fees are non-refundable except as required by applicable law or as otherwise stated in these Terms.
• We reserve the right to change subscription pricing with at least 30 days' prior notice. Continued use after a price change constitutes acceptance of the new pricing.
• You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

7. Free Trial

During private beta, invited beta testers may receive up to 30 free translated pages. No credit card is required to use beta credits. This private-beta credit offer is temporary and separate from any future paid-plan free trial, which may include fewer pages. The offer is limited to one per user and is subject to these Terms. We reserve the right to modify or discontinue free trial or beta credit offers at any time.

8. Intellectual Property

Your content: You retain all rights, title, and interest in your original documents and the translations you produce using PuenteLex. We do not claim ownership of your documents or translations.

Our content: The PuenteLex platform, including its software, design, branding, logos, and documentation, is owned by OnyxAce Technologies LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our platform without our express written consent.

Limited license: You grant us a limited, non-exclusive, non-transferable license to process your documents solely for the purpose of providing the Service (i.e., generating draft translations). This license terminates when your documents are deleted from our systems.

9. Data Processing

To provide the translation service, documents you upload are sent to third-party AI services for AI-assisted translation processing. By using the Service, you consent to this data transfer. Please review our Privacy Policy for additional information about how your data is handled.

Documents are stored in encrypted cloud storage (Supabase, hosted in the United States) for the duration of your configured retention period. We implement industry-standard security measures to protect your data during transit and at rest.

10. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• PuenteLex shall not be liable for any errors, omissions, or inaccuracies in translations generated using the Service, whether produced by artificial intelligence or otherwise. The certifying translator assumes full responsibility for the accuracy and completeness of all certified translations.
• PuenteLex shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
• PuenteLex shall not be liable for any damages arising from the rejection, delay, or denial of any application, petition, official submission, or government filing based on translations produced using the Service.
• In no event shall PuenteLex's total aggregate liability to you for all claims arising out of or relating to the Service exceed the total amount paid by you to PuenteLex in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless PuenteLex, OnyxAce Technologies LLC, and their officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the Service;
• Any translations you certify, submit, or distribute using the Service;
• Your violation of these Terms;
• Your violation of any applicable law or regulation;
• Any claim by a third party arising from your certified translations, including but not limited to claims related to legal proceedings, government filings, academic submissions, immigration applications, or any other official use.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, PuenteLex disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and reliability.

Without limiting the foregoing, PuenteLex does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free;
• AI-generated translations will be accurate, complete, or suitable for any purpose;
• Any defects in the Service will be corrected;
• Translations produced using the Service will be accepted by any government agency, court, academic institution, or other official body.

14. Document Retention and Deletion

Documents uploaded to PuenteLex are stored in encrypted cloud storage for a configurable retention period. The default retention period is 90 days. After the retention period expires, documents are automatically and permanently deleted from our systems.

You may delete your documents at any time before the retention period expires through your account dashboard. Once deleted, documents cannot be recovered.

You are solely responsible for downloading and retaining copies of your translations before they are deleted. PuenteLex is not responsible for any loss of data resulting from automatic or manual deletion of documents.

15. Prohibited Uses

You agree not to use the Service to:

• Produce fraudulent, falsified, or misleading translations or certifications;
• Certify translations that you have not reviewed and verified for accuracy;
• Misrepresent your qualifications, competency, or identity as a translator;
• Upload documents you are not authorized to possess or translate;
• Violate any applicable law, regulation, or professional standard;
• Attempt to reverse engineer, decompile, or otherwise extract the source code of the Service;
• Interfere with or disrupt the integrity or performance of the Service;
• Use automated tools (bots, scrapers, etc.) to access the Service without our express written consent;
• Resell or redistribute the Service without our express written consent;
• Upload content that contains malware, viruses, or any other harmful code.

16. Modification of Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. We may also provide additional notice via email for significant changes.

Your continued use of the Service after any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and close your account.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

18. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in Miami-Dade County, Florida.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Small claims exception:Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

Injunctive relief: Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
